The following terms and conditions specifically govern any purchase, sale, transfer, or other transaction by you of any digital collectible or token (each, a “Membership NFT” or “NFT”), regardless of currency or method of payment, through or on Venice Innovation Labs Inc.’s (“Venice” or “we” or “us”) website hosted at https://app.Venice.tech, https://mint.venicemusic.co, https://members.venicemusic.co, and/or other Venice-related or affiliated websites or apps (collectively, the “Website” or “Site”), domain name, membership programs, events, content, applications, and features, including any protocols and components thereof, which may exist now or in the future and which Venice may make available from time to time (together, collectively the “Service”).
Any user (whether member, user, purchaser, or seller) of any Service (hereinafter “you” or “User”) agree to follow and be bound by these Terms of Sale, our Terms of Service, and our Privacy Policy and any other terms and conditions additionally applicable for certain specific features, add-ons, or services (collectively, "Terms"). These Terms of Sale are subject to additional terms and conditions set forth in the Terms of Service, including but not limited to, those governing liability, indemnification, and disclaimers, as well as the arbitration agreement and class action waivers described below.
NOTICE OF ARBITRATION AGREEMENT AND CLASS ACTION WAIVER: THESE TERMS OF SALE ARE SUBJECT TO A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER, SET FORTH IN THE TERMS OF SERVICE, WHICH AFFECT YOUR RIGHTS ABOUT RESOLVING ANY DISPUTE WITH THE COMPANY. PLEASE READ THE TERMS OF SERVICE (INCLUDING THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER) CAREFULLY.
Venice reimagines independence in the music industry, by bringing together the independent music community to connect, share, and build a more equitable industry. Each Membership NFT serves as an access pass to the related suite of Services and membership features making up the Venice ecosystem. These Services/features may include all or some of the following: distribution (streaming), networking opportunities, access to “Venice House”, ways to Book Studio Network, access to Artist Collaboration Channels and/or Creative Network (directory of graphic designers, videographers, etc.), entry to physical workspaces, writing camps/workshops, and/or community events. Note that certain combination of features and access thereto may be presently or in the future restricted based on membership / Service level, and priced by Venice accordingly.
Although Venice endeavors to ensure that each membership feature comes into and remains in existence to allow expanding functionality of the Membership NFTs, please be aware that a purchase of any NFT is a transaction in goods, and not a promise to provide, or a guarantee of receipt of, any specific services, features, perks, benefits, or products from Venice. The right to use of any physical spaces, properties, or locations will be subject to all applicable rules, terms and conditions of each location (including, but not limited to, the Terms), which may be determined by Venice or the applicable third party at their sole respective discretion. Venice has no responsibility or liability for any occurrence or issue in relation to your use of any such physical space, property, or location and you use those spaces, properties, or locations AT YOUR SOLE RISK.
All NFTs that are created and/or delivered through any Venice Service to you (whether you are a User, purchaser, seller, member, or otherwise) is at your sole risk and on an “as-is” basis. By engaging in any transaction, you confirm, acknowledge, and agree that you have not relied on any representations or warranties made by Venice or any other person outside of the context of these Terms of Sale, including but not limited to conversations of any kind, including but not limited to whether such statements are made through oral or electronic communication, or any White Paper, social media post or website.
You understand and agree that the sale of Membership NFTs grants you no rights and carries with it no guarantee of future performance or products of any kind by Venice. You are not entitled, as a holder of any Membership NFT, to vote or receive dividends or profits or be deemed the holder of shares of, or any other equity or ownership interest in, Venice or any other person by virtue of your ownership of a Membership NFT, nor will anything contained herein be construed to construe on you any of the rights of a shareholder, partner, joint venturer, etc. or any right to vote for the election of directors or upon any matter submitted to shareholders at any meeting thereof, or to give or withhold consent to any corporate action or to receive notice of meetings, or to receive subscription rights to purchase such shares of Venice.
While Venice may, from time to time, offer holders of Membership NFTs the opportunity to participate in certain online decisions (such as community voting) and shared benefits (such as Venice’s shared treasury), as they are all Services of Venice, Venice reserves all rights to implement, change, terminate, veto, and make any other final decision, at Venice’s sole discretion, with respect to such Services, notwithstanding any online decision or shared benefits. You agree that the functionality of any such event established will be determined by Venice in its sole and absolute discretion and you will have no claims or rights (nor will Venice have any obligations or liability) with respect to Venice’s operation or implementation of any such online decision, voting procedures, shared benefits or treasury.
You understand that the development of Venice’s business is a significantly risky venture and you acknowledge and assume the risk that Venice may not be able to execute, complete or continue to provide, substantially or in part, the provision of all Services or features, increase or maintain the value of any Membership NFT, or any other aspect of its operations and furthermore that a significant proportion of the funds generated by the Membership NFT drop are expected to be retained by Venice for any lawful business purpose. Your purchase of an NFT could lead to the complete loss of your money, and no payments will be returned.
Without prejudice to any of the Terms, you acknowledge and agree that, except in the case of Venice’s fraud or as otherwise required by any non-waivable provision of applicable law, Venice shall not be liable in any manner whatsoever to you or any other person for losses or damages of any kind, whether arising in contract, tort, or otherwise, arising from your use or the sale of Membership NFTs by you or to any person.
All purchases of any Membership NFT are final and nonrefundable.
